Terms of Service

Sageo is a culture-first performance management platform that generates competency frameworks, runs review cycles, supports calibration, and helps teams with development plans, goals and 1:1s. We may update and improve the Service over time.

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. The Service is intended for business use by people aged 16 or over.

You retain ownership of the data you and your users put into the Service ("Customer Data"). As between the parties, you are the data controller for Customer Data and Sageo is your processor, as set out in our Data Processing Agreement.

You are responsible for having a lawful basis to process your employees' personal data, for providing any required notices to them, and for ensuring your use of the Service complies with applicable employment and data protection law.

Sageo uses AI to generate drafts of frameworks and development plans. AI output is a starting point, not a decision. Every output is presented for human review, and a person must review, edit and approve it before it applies to any individual. You are responsible for the decisions you make using the Service, and we do not warrant that AI output is accurate, complete or fit for a particular purpose.

Paid plans are charged per seat and billed annually, subject to any minimum seat count shown on our pricing page. Fees are exclusive of taxes. If payment is not received when due, we may suspend the Service after reasonable notice.

Sageo and its licensors own all rights in the Service, including its software, design and content, excluding Customer Data. You own your Customer Data. If you send us feedback or suggestions, you grant us a non-exclusive licence to use them to improve the Service.

Each party will protect the other's confidential information and use it only to perform under these Terms.

We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties to the extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose.

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and each party's total liability arising out of the Service is limited to the fees paid or payable for the Service in the twelve months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

You will indemnify Sageo against third-party claims arising from your Customer Data or your use of the Service in breach of these Terms, and we will indemnify you against third-party claims that the Service infringes their intellectual property rights, each subject to reasonable conditions.

These Terms apply while you use the Service. Either party may terminate for material breach that is not cured within a reasonable period. On termination, your right to use the Service ends and, on request, we will make Customer Data available for export for a limited period before deleting it.

These Terms are governed by the laws of Latvia, and the courts of Rīga, Latvia have exclusive jurisdiction over disputes, without prejudice to any mandatory consumer or data protection rights you may have where you live.

We may update these Terms from time to time. We will post the updated version here and change the date above. Continued use of the Service after changes take effect means you accept the updated Terms.
